Terms & Condtions
- No moment marketing is available in Social Guru.
- If the client makes any delay, it also delays the process.
- The client needs to notify us if any changes are made by the client in the social media platform.
- Social Media Management service has only done if the profiles are business pages.
- For Approval, we will wait and follow the client for 1 week. If there was no response we itself go ahead with the process. (Social Guru)
- We will not responsible for any performance drop if the client does any work by themselves in ongoing projects.
- No revision and change are applied once the campaign is published (Ad Guru)
- We will be your ad manager for your ad account. (Ad Guru)
- If any issues are addressed in the campaign it will take a maximum of 7 days (worst case scenario) to resolve. (Ad Guru)
Trial Package Contract (Social Guru)
- 7 days trial includes 1 post/ day for all trial packages.
- Minimum 5 days needed for starting a trial pack after getting inputs from clients.
- Strategies are not included in the trial package.
- The trial package is only to show the work process, not growth progress.
- You can only choose any two platforms
Contract
- We develop relevant and creative content to reach your target customers.
- Creating, curating, and managing all published images, videos, and written content on your business’s social media pages.
- Monitoring, listening and responding appropriately to subscription.
- Compiling organized reports for you.
- Post boosting service only available on Facebook and Instagram.
- Testing new and creative marketing strategies through social media.
- Monitoring trends in social media tools, applications, channels, design, etc.
- Setting up social media accounts on platforms such as Facebook, Twitter, Instagram, etc. as specified as per subscription.
- Monitoring, managing and posting for accounts on these platforms as specified as per subscription.
- Any other services agreed on by both parties that are specified as per subscription.
- Social guru: We start posting in your social media platform after mentioned days as per your subscription (10 days for SG 15, 12 days for SG 30, 15 for SG 45)
- For any specific content should include in the monthly posts. Client need to inform at Poojiyam guru in prior notice while creation/drafting process
- Poojiyam guru will have rights to repeat or delete the post for better engagement or reach.
- Social guru: We/ client may suggest the post for Boosting service as per your subscription (3 posts for SG 15, 5 posts for SG 30, 8 posts SG 45).
- For boosting service is up to client decisions for spending.
- For additional post boosting service, extra charges applicable.
- Social guru: Social Listening service is done as per your subscription (10 days for SG 15, 12 days for SG 30, 15 for SG 45).
- For using Keywords, Hashtag & tagging, the client has to give full permission.
- The same Platform is not repeated in the packages.
Payment and subscription
- All prices shall be in US Dollar and shall be inclusive of VAT and other duties. In the event that duties are introduced or changed after the conclusion of an Order, the Company shall be entitled to adjust the agreed prices accordingly.
- If Client Need any certain Intellectual Property may involve the licensing of third party Intellectual Property Rights and that the Client may be required to enter into a licence directly with such third party. Unless otherwise expressly stated, all prices shall be exclusive of costs for the acquisition of Intellectual Property Rights for materials to be included in marketing materials, including if relevant (but without limitation) pictures and licences from third party owners and licensors.
- All Social Media Packages are provided on a monthly or annual subscription basis and the Client acknowledges that subscriptions will be automatically renewed by the Company at the end of each term to avoid any interruption to service. The Client may terminate its subscription to the Services in writing giving no less than 30 business days’ notice of the termination. Services will continue to be provided until such time as the existing service subscription has been provided in full to the Client (ie. until the end of the month or year for which the services have already been invoiced or been pre-paid by the client).
- The Company may provide time to time offer discounts for payment by certain preferred payment methods and/or within certain timeframes, as stipulated by the Company in its Quotation. Failure by the Client to make payment via the prescribed payment method and within the prescribed timeframes will result in forfeiture of the discount and the Client will become liable to pay the ongoing and outstanding subscription at the full rate.
- In the event that the Client places demands on the time and resources of the Company that fall outside the agreed package, the Company shall charge $150 per day for the time of any Social Media employee for the fulfilment of all such requests, plus any additional expenses incurred in the fulfilment of such requests.
- The Company shall invoice for services monthly or annually. When the subscription is placed, payment shall automatically be taken on the date of each order for the period of subscription
- The Company will not change the subscription value If beyond our control we will change the subscription value by prior notice.
- Subscription switching is applicable in the prior notice.
Intellectual property rights
- The Client shall be responsible for ensuring that the contents of Materials which the Client has contributed or approved are not in contravention of legislation, decency, marketing rules or any other third-party rights. The Company shall be entitled to reject and delete such material without incurring any liability. In addition, the Company shall be entitled to cancel the Order.
- The Intellectual Property Rights shall not be used, assigned, distributed, copied, forwarded to online or offline activities by the Client without a separate, express written agreement.
- The Client shall indemnify the Company against all damages, losses and expenses suffered or incurred by the Company as a result of the Materials which the Client has contributed or approved being in contravention of legislation, decency, marketing rules or any action that any such Materials infringe any Intellectual Property Rights of a third party.
- If the Company makes software subscriptions, processes or content available to the Client as part of the execution of an Order, the Client shall only acquire a non-exclusive personal non-transferable license to use such material until the Services under this agreement cease.
- The Client hereby irrevocably licenses the Company to use and display the Client’s name, figure, logo etc. as a reference on the Company’s website, other marketing materials or types of media whilst they are a Client of the Company. The Client agrees to send the Company its most recent logo or figure as and when it is amended from time to time.
Confidentiality
- Poojiyam guru will maintain absolute confidentiality with respect to any confidential information received from the client. We will not disclose any such information without obtaining clients specific prior consent.
Termination and Complaints
- Either party may terminate this agreement by giving 30 days prior notice to the other, obligations of the parties shall continue during the notice period.
- Poojiyam guru has the rights to cancel/ suspend the subscription if the client does unlawful activities.
- After the end of the subscription, there will be no relationship between Poojiyam guru and client.
- If there is any complaints mail to us at support@poojiyamguru.com, your complaint will be addressed within 72 hours.
Miscellaneous
- Indian users only avail the tax benefits.
- As we working on IST (Indian Standard Time) we unable to reply immediately. It will take a minimum of 12 to 24 hours.
- Poojiyam Guru is not responsible for any performance issue/ account blocked/ lost lead/ any dispute/ legal issues.
- A person who is not a party to the contract shall not have any rights under it.
Force Majeure
- Neither the client nor Poojiyam Guru, shall be liable for any default, delay or lapse occurring due to events beyond the control, including riot, strike, theft, war, famine or natural disaster.
Law & jurisdiction
- This User Agreement shall be construed in accordance with the applicable laws of India. The Courts at Chennai shall have exclusive jurisdiction in any proceedings arising out of this agreement.
